Texas Instruments Acquires Intersect Technologies, Inc.

TI Expands Capabilities to Address All Mass Storage SC System Requirements

 DALLAS (March 3, 1997) --Texas Instruments today announced that it has acquired Intersect Technologies, Inc. (ITI), a technology provider engaged in the design and development of software, firmware and hardware for the mass storage market. This acquisition is a demonstration of TI's commitment to extend its leadership in digital signal processing solutions for high-growth markets. ITI will operate as a wholly owned subsidiary of TI and will remain in Longmont, Colorado, reporting to TI's Storage Business Unit. Terms of the agreement were not disclosed.

Intersect Technologies, Inc. was established in February, 1995, and employs 13 professionals with a combined 164 years of engineering experience. The majority of ITI's experience has been dedicated to the creation of advanced storage architectures and applications. ITI efforts have been focused on using TI digital signal processors and developing and implementing customer firmware, hardware and software tools and device drivers for mass storage applications such as hard disk drives and removable storage.

"This acquisition directly addresses the mass storage industry's need to quickly bring differentiated products to the market," said Rich Templeton, TI executive vice president and Semiconductor Group president. "We are combining ITI's system, software and firmware expertise with TI's digital signal processing solutions technology and manufacturing capacity, along with the analog/mixed-signal products and technology from TI's subsidiary Silicon Systems, Inc. (SSI). The result will be comprehensive hardware, firmware and software solutions which specifically address the requirements of each OEM."

"With this acquisition, we are positioned to develop innovative architectures, participate in the writing of complex firmware, software and device drivers and assist with development of BIOS software for mass storage applications, all of which equates to complete solutions capability at the system level," said Steve Haddad, director of customer marketing and business development for the TI/SSI Storage Business Unit.

"We are bottom-line focused and understand the value of getting to market fast with the latest innovative and most cost-effective technologies," said Steve Cornaby, vice president, marketing and operations of Intersect. "Our role with Texas Instruments and SSI will be to provide our customers with a competitive advantage by assisting them in their need to accelerate crucial advanced product and system development efforts."

This is the second announcement in the past year demonstrating TI's commitment to deliver the most competitive, complete solutions to the mass storage market. In July, 1996, TI acquired Silicon Systems Incorporated, a designer and manufacturer of application-specific, mixed-signal integrated circuits to the mass storage market. SSI offers a sophisticated line of custom and standard ICs primarily aimed at the hard disk drive and removable storage marketplaces. SSI operates as an independent, wholly-owned subsidiary of TI, and is headquartered in Tustin, California.

"Delivering total solutions, which includes the development of architectures, silicon, firmware and software, is a mandatory requirement in today's current OEM and emerging market environments," said Rick Goerner, president of Silicon Systems, Inc. and TI Semiconductor Group vice president. "With the team they have already established as a foundation, Intersect will become an integral part of our strategy to provide our customers with the advanced technology that they need, when they need it."
